Introduction and Acceptance

Welcome to waiter.now, a digital platform operated by Webinfrac Ltd (RC Number: 8861667), a company registered under the laws of the Federal Republic of Nigeria with its registered address at Plot 1, Unit Lane, Ewet Housing, Uyo, Akwa Ibom State, Nigeria.

waiter.now provides restaurants with an AI-powered digital menu, QR-code-based ordering, real-time order management, and operational dashboards designed to improve the dining experience for guests and streamline operations for restaurant owners and their staff.

By accessing or using waiter.now in any capacity — whether as a restaurant Owner or Administrator, a Waiter or Staff member, or a Guest (diner) — you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use the platform.

These terms constitute a legally binding agreement between you and Webinfrac Ltd. Your continued use of waiter.now following any changes to these terms constitutes acceptance of those changes.

Description of the Platform

waiter.now is a software-as-a-service platform that enables restaurants to offer a modern, AI-assisted dining experience. The platform consists of the following core features:

QR Code Ordering. Restaurant owners generate unique QR codes for their establishment. When a guest scans the QR code using their smartphone, they are taken directly to a personalised digital menu — no app download required, no waiting for a physical menu.

AI Menu Assistant. Guests can chat with an AI-powered assistant that understands the restaurant's full menu. The assistant can answer questions about dishes, suggest meals based on preferences, describe ingredients, and help guests discover items they might enjoy.

Real-Time Order Tracking. Once a guest places an order through the platform, the order is transmitted in real time to the waiter dashboard. Waiters can accept orders, set estimated preparation times, advance orders through stages (accepted, preparing, ready, completed), and manage multiple orders simultaneously.

Waiter Dashboard. A dedicated interface for restaurant staff that includes a clock-in/clock-out shift system, an order queue, active order management with countdown timers, and order history.

Owner and Admin Dashboard. Restaurant owners have access to a comprehensive dashboard that includes menu management, waiter management (add, deactivate, and monitor staff), analytics, settings, and QR code generation.

User Roles and Responsibilities

The platform supports three distinct user roles, each with specific obligations:

Owner / Administrator

As a restaurant owner or administrator, you are responsible for the accuracy and completeness of your restaurant's menu, including item names, descriptions, prices, and allergen or dietary information. You are responsible for managing your waiter staff accounts, ensuring that only authorised individuals have access to your restaurant's operational dashboard. You agree to keep your account credentials secure and to notify us immediately if you suspect unauthorised access. You acknowledge that waiter.now is a tool to assist operations and that the ultimate responsibility for order fulfilment, food safety, and customer satisfaction rests with you and your establishment.

Waiter / Staff

As a waiter or staff member, you may only create an account if you have been invited by your restaurant's owner through the platform. You agree to use the platform solely for the purpose of managing orders for the restaurant you are associated with. You must clock in at the start of your shift and clock out when your shift ends. You are responsible for managing orders promptly and accurately, and for keeping your login credentials confidential.

Guest (Diner)

As a guest, you access the platform by scanning a QR code at a participating restaurant. No account creation is required. By using the AI assistant and placing orders through the platform, you agree to these terms. You acknowledge that the AI assistant provides information based on the menu data supplied by the restaurant and that you should communicate any food allergies, dietary restrictions, or specific requirements directly to the restaurant staff. You are responsible for verifying your order details before submission.

AI-Powered Features

waiter.now uses artificial intelligence to power its menu assistant feature. The AI assistant is designed to help guests explore the restaurant's menu, answer questions about dishes, and provide recommendations based on the menu data uploaded by the restaurant owner.

Accuracy Disclaimer. While we strive to provide helpful and accurate AI responses, we do not guarantee that all information provided by the AI assistant is perfectly accurate, complete, or up-to-date. The AI generates responses based on the menu data available to it, and there may be instances where the information is incomplete, outdated, or contextually imprecise.

Allergy and Dietary Caveat. The AI assistant may provide information about ingredients and dietary suitability based on the menu data supplied by the restaurant. However, this information should not be relied upon as the sole source of truth for allergy or dietary decisions. Guests with food allergies, intolerances, or specific dietary requirements must confirm ingredient details and preparation methods directly with restaurant staff before ordering. Webinfrac Ltd accepts no liability for adverse reactions resulting from reliance on AI-generated information.

No Warranty on AI Outputs. All AI-generated content is provided on an "as is" basis without warranties of any kind, whether express or implied. Webinfrac Ltd does not warrant that the AI assistant will operate without interruption or error, or that its outputs will meet any specific standard of accuracy.

Subscription and Payment Terms

Access to waiter.now for restaurant owners is provided through a subscription model. The specific pricing tiers and features included at each level are published on our website and may be updated from time to time.

Fees Due in Advance. Subscription fees are due in advance of the applicable billing period. Continued access to the platform is contingent on timely payment.

Suspension for Non-Payment. If payment is not received within the agreed billing cycle, Webinfrac Ltd reserves the right to suspend access to the platform until outstanding fees are settled. We will provide reasonable notice before any suspension takes effect.

Price Changes. We reserve the right to modify our pricing. Any changes to subscription fees will be communicated to you with at least fourteen (14) days' written notice before the new pricing takes effect. Continued use of the platform after the effective date of a price change constitutes acceptance of the updated pricing.

Taxes. All fees are subject to applicable taxes under Nigerian law. You are responsible for any Value Added Tax (VAT), withholding tax, or other levies that may apply to your subscription.

Data Collection and Privacy

Webinfrac Ltd is committed to protecting the privacy and personal data of all users in compliance with the Nigeria Data Protection Act (NDPA) 2023 and all applicable regulations issued by the Nigeria Data Protection Commission (NDPC).

Data We Collect. We collect data necessary to operate the platform, including restaurant menu information, owner and waiter account details (name, email address), order data, guest interactions with the AI assistant, and usage analytics. Guest users are not required to create accounts, and we do not collect personally identifiable information from guests beyond what is voluntarily provided during the ordering process (such as an optional name for order identification).

No Sale of Personal Data. We do not sell, rent, or trade your personal data to third parties. Data may be shared with third-party service providers (such as cloud hosting, analytics, and AI model providers) solely for the purpose of operating and improving the platform, and only under appropriate data processing agreements.

Anonymised Analytics. We retain and use anonymised, aggregated data for analytics purposes, including understanding usage patterns, improving the AI assistant, and enhancing the overall platform experience. This anonymised data cannot be used to identify individual users.

Data Retention. We retain personal data only for as long as necessary to fulfil the purposes for which it was collected or as required by law. You may request the deletion of your personal data by contacting us at the email address provided in Section 13.

Intellectual Property

Platform Ownership. All intellectual property rights in the waiter.now platform, including but not limited to its software, design, branding, logos, trademarks, AI models, and documentation, are owned by Webinfrac Ltd or its licensors. No right, title, or interest in the platform is transferred to you through your use of the service.

Restaurant Content. Restaurant owners retain ownership of the content they upload to the platform, including menu items, descriptions, images, and pricing information. By uploading content to waiter.now, you grant Webinfrac Ltd a non-exclusive, worldwide, royalty-free licence to host, display, process, and transmit that content solely for the purpose of operating the platform and delivering the service to you and your guests.

AI-Generated Content. Responses and recommendations generated by the AI assistant are derived from restaurant-provided data and the platform's AI models. Ownership of AI-generated content remains with Webinfrac Ltd.

Prohibited Use

You agree not to use waiter.now for any unlawful, fraudulent, or harmful purpose. Without limitation, the following activities are strictly prohibited:

  • Using the platform for any activity that violates applicable local, state, national, or international law or regulation.
  • Attempting to reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any part of the platform.
  • Scraping, crawling, or using automated tools to extract data from the platform without prior written consent from Webinfrac Ltd.
  • Impersonating any person or entity, or falsely stating or misrepresenting your affiliation with any person or entity.
  • Uploading or transmitting any content that is defamatory, obscene, harmful, threatening, abusive, or otherwise objectionable.
  • Uploading or transmitting any malware, viruses, or other harmful code.
  • Interfering with or disrupting the integrity or performance of the platform or the data contained therein.
  • Attempting to gain unauthorised access to the platform, other user accounts, or any related systems or networks.

Violation of these prohibitions may result in immediate suspension or termination of your account without notice.

Limitation of Liability

To the maximum extent permitted by applicable law, Webinfrac Ltd, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of business opportunity, or loss of goodwill, arising out of or in connection with your use of the platform.

Order Fulfilment. waiter.now is a technology platform that facilitates communication between guests and restaurants. Webinfrac Ltd is not responsible for the preparation, quality, safety, or delivery of food or beverages ordered through the platform. The restaurant bears sole responsibility for order fulfilment.

AI Inaccuracies. Webinfrac Ltd shall not be liable for any loss, injury, or damage arising from reliance on information provided by the AI assistant, including but not limited to information about ingredients, allergens, nutritional content, or dietary suitability.

Service Availability. While we strive to maintain continuous platform availability, we do not guarantee uninterrupted access. Webinfrac Ltd shall not be liable for any losses caused by temporary unavailability of the platform due to maintenance, updates, or circumstances beyond our reasonable control.

In no event shall Webinfrac Ltd's total aggregate liability exceed the amount you have paid to us in subscription fees during the twelve (12) months preceding the event giving rise to the claim.

Termination

Termination by Webinfrac Ltd. We reserve the right to suspend or terminate your access to waiter.now at any time, with or without notice, if we reasonably believe that you have violated these Terms and Conditions, engaged in fraudulent or illegal activity, or if your continued use poses a risk to the platform, other users, or Webinfrac Ltd.

Termination by Owner. Restaurant owners may cancel their subscription at any time by contacting us at the email address provided in Section 13 or through the account settings on the platform. Upon cancellation, your access to the platform will continue until the end of your current billing period, after which your account will be deactivated. Your menu data will be retained for thirty (30) days following deactivation to allow for reactivation, after which it may be permanently deleted.

Effect of Termination. Upon termination, all rights granted to you under these terms will cease. Sections relating to intellectual property, limitation of liability, governing law, and any other provisions that by their nature should survive termination will remain in effect.

Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law provisions.

Dispute Resolution. Any dispute, controversy, or claim arising out of or relating to these terms, or the breach, termination, or validity thereof, shall first be attempted to be resolved through good-faith negotiation between the parties for a period of thirty (30) days from the date one party notifies the other of the dispute.

If the dispute cannot be resolved through negotiation, it shall be referred to and finally resolved by arbitration administered in Lagos, Nigeria, in accordance with the Arbitration and Mediation Act 2023. The arbitration shall be conducted by a single arbitrator appointed by mutual agreement of the parties or, failing agreement, by the Lagos Court of Arbitration. The language of the arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

Amendments

Webinfrac Ltd reserves the right to update, modify, or replace these Terms and Conditions at any time at its sole discretion. When we make changes, we will update the "Last Updated" date at the top of this page.

Material Changes. For material changes that significantly affect your rights or obligations, we will provide notice through one or more of the following methods: an email to the address associated with your account, a prominent notice on the platform, or a notification within the owner or waiter dashboard.

Your continued use of waiter.now after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree with the updated terms, you must discontinue your use of the platform.
